What they claim to be: Ellasinvest (ellasinvest.com) markets itself online as an AI-driven quantitative investment firm, promoting a proprietary trading system it calls "Ellas Alpha 6.0." Promotional content — including a first-person "skeptical bank executive converted" testimonial — has circulated through paid PR-newswire services (e.g., PinionNewswire, syndicated to Digital Journal), not independent financial journalism.

What the public filing actually shows: According to Articles of Incorporation filed with the Colorado Secretary of State, "

Asset Management Foundation" is registered as a nonprofit corporation under C.R.S. § 7-122-101/102 — not a for-profit investment firm, LLC, or registered investment adviser entity.

This is a critical mismatch:

  • Nonprofit corporations are legally structured for exempt purposes, not for managing investor capital in exchange for investment returns.

  • The filing's dissolution clause states that upon dissolution, assets must go to exempt purposes or government entities — completely incompatible with a business model promising investors profit from AI-driven trading.

  • Setting up as a nonprofit is a low-cost, low-scrutiny filing route compared to registering as an investment adviser, which requires SEC or state Division of Securities registration, disclosure filings (Form ADV), and ongoing compliance oversight.

Address and structure:

  • Principal office listed: 1200 17th St, Suite 1108, Denver, CO 80202 — inside One Tabor Center, a building where WeWork operates five floors of shared/flex office space. This is not inherently suspicious on its own, but it means the address does not confirm a dedicated physical operation.

  • Incorporator: Paul Robert Howard Jr., listed at the same Suite 1108 address.

  • Registered agent: Colorado Registered Agents Inc. (a standard third-party commercial registered-agent service, at 1500 N Grant St, Denver).

What we could not confirm (and are flagging as open questions, not conclusions):

  • We found no public record connecting Paul Robert Howard Jr. to a FINRA or SEC enforcement action, and no confirmed listing (or absence) in the SEC's Investment Adviser Public Disclosure (IAPD) database — that lookup requires a live, direct search at adviserinfo.sec.gov and could not be completed via automated means.

  • We have not identified individual victim reports tied specifically to Ellasinvest at the time of this writing.

Bottom line for prospective investors: Before sending any funds to Ellasinvest or any entity marketed similarly:
